A Unique Approach
We initially began with a question in mind: "How can we help a select portfolio of interactive marketing,
media and technology clients realize the full value of their business?"
It is from here that we thoughtfully designed and continue to refine the approach of Madison Alley
Global Ventures. The model, process and results have been surely different from common practice.
It is first helpful to appreciate our distinguished background and capabilities:
1. Our team is highly specialized with distinct roots
and a fundamental understanding of the interactive marketing,
media and technology sector.
We are a team whose track record as individuals traces back to the very emergence of the sector,
a time when the Internet first realized commercial and mass appeal in the mid-1990's. In different ways,
we helped developed market leaders as they led their respective niche - companies like CompuServe
and America Online during the hyper-growth years of 1994-1997 and The Interpublic Group through
its prolific acquisition era of the late 1990's/early 2000s.
2. We are former industry executive M&A and investment
specialists.
We combine domain concentration with seasoned, proven experts who know how to realize value
in the capital markets and the transactions that drive this sector.
We have executed dozens of M&A deals valued at over $3 billion and managed over
$200 million of strategic investments in global interactive marketing, media and
technology companies.
Having led the deals as industry executives, we are deeply familiar with the
fundamental dynamics of the interactive marketing, media and related technology
market. Our track record includes acquisitions, divestitures, management buyouts,
workouts, and a wide variety of other buy-side and sell-side deals.
3. Our integrity, retention of trust, and commitment to the success of our clients are simply
without compromise.

4. An investment-style approach to the accretion of business value.
Like investors, we meticulously select a portfolio of clients. We intently listen to our
clients to fundamentally understand, artfully position and articulate the distinct value
of their business to the market. As appropriate, we secure investment and/or debt
capital financing and execute key strategic acquisitions. In parallel, we expose clients
to the universe of possibilities at the top executive levels - all pursuant to, at the time
and manner of the owner(s)' choosing, realizing full value for the sale or other liquidity
of the business.
IMPORTANT NOTE: Part of the value we provide clients is to perpetually facilitate
strategic discussions with the market of prospective buyers, thereby exposing the
owner(s) at all times to strategic possibilities that may exist. While such discussions
may lead to an ultimate M&A transaction, this exploratory process is a common practice
for our clients and should by no means be construed as an indication that our client is for sale.
5. Our long-term horizon
Our role is to simply provide clients with firsthand visibility and exposure to the wide variety
of strategic options that exist, irrespective of whether the business owner(s) determines
that now is the right time to sell.
We are NOT merely sell-side advisors nor are we merely transactional advisors.
The distinction is that, in adherence with our long-term investment approach, we are
only inclined to encourage our clients to sell when and if a deal is suitable.
6. Strategic Growth via Equity Investment, Debt Capital Financing and Acquisitions
Recognizing that clients are at various stages of development and often benefit from a variety of
strategic capital transactions, we successfully secure strategic financing and lead buy-side
acquisitions to help grow their business.
7. Alignment of Interest
We simply found that proper alignment enables us to appreciate and be driven by the same
risks and rewards felt by clients in a transaction and to assess alternatives without bias as to
if, when and how the owners realize full value.
As a result, we have no inclination towards a more immediate sale of our client's business.
Rather, we are driven to ultimately realize full value for the owner(s) if and when the right
opportunity presents itself.
8. Transaction Execution: Strategic, Global and Systematic
By listening intently to our clients and understanding the fundamentally drivers of
their success, we have been able to extract and articulate the value of their business,
and target specifically relevant strategic opportunities. In fact, often we have helped
the company even describe itself to its own clients.
We examine strategic possibilities on a global basis,
always from our client's perspective. We expose our clients
to viable domestic and foreign buyers, sellers and financiers
seeking interactive marketing, media and technology companies.
